1. Acceptance
By using our website or engaging Clarivant S.C. through a Statement of Work (“SOW”), you agree to these Terms.
If you do not agree, do not use the website.
2. Nature of Services
We provide:
- AI engineering
- Data analytics
- Machine learning modeling
- Business intelligence
- Strategic advisory
2.1 AI is Probabilistic
AI outputs are statistical predictions, not guarantees.
2.2 AI “Hallucinations”
Generative AI may produce incorrect content. You agree to verify all AI-generated recommendations before acting on them.
2.3 Human-in-the-Loop
Critical decisions must include human review.
3. Intellectual Property
3.1 Client Data
You own all data you provide.
3.2 Deliverables
Upon full payment, you own the custom deliverables we produce for you.
3.3 Background IP
We retain ownership of our libraries, templates, data models, and pre-existing methodologies.
You receive a perpetual, non-exclusive, royalty-free license to use any Background IP embedded in your deliverables.
3.4 AI-Generated Content
Some content produced by AI may not be copyrightable. We make no warranty regarding copyright eligibility of AI outputs.
4. Confidentiality & Data Processing
We treat your data with strict confidentiality.
We never use your data to train our proprietary models without explicit written consent.
If we process personal data on your behalf:
- We act as a Service Provider (CPRA)
- And as a Data Processor (GDPR/LFPDPPP)
- We use data only to deliver contracted services
5. Limitation of Liability
5.1 Liability Cap
Our total liability is capped at the amount you paid to us in the last 12 months.
5.2 No Consequential Damages
We are not liable for:
- Loss of profit
- Loss of data
- Business interruption
- Indirect or incidental damages
5.3 AI-Specific Exclusion
We are not liable for losses arising from reliance on AI predictions.
6. Acceptable Use
You agree not to:
- Use the site for illegal activities
- Attempt to bypass security systems
- Reverse engineer our code
- Submit harmful or malicious data
7. Governing Law & Disputes
Mexico (Default)
These terms follow the laws of Mexico. Disputes shall be handled in Monterrey, Nuevo León courts.
International Clients
International disputes may be resolved via binding arbitration in Mexico City under ICC rules.
